Our Approach to Terms
Most terms of service are written to scare you into compliance with pages of impenetrable legalese. We’re taking a different approach.
These terms are designed to be fair—to both you and us. We trust you to use our products responsibly. In return, we promise to be transparent, reasonable, and human in how we operate.
Read this in plain English. We’ll tell you what you can and can’t do, what we promise and don’t promise, and how we handle disputes. No tricks, no gotchas, no corporate doublespeak.
Agreement to Terms
By accessing or using any CosmoLabs product or service, you agree to these terms. If you don’t agree, don’t use our products.
Who can use our services:
- Anyone 16 years or older
- Anyone legally able to enter into binding contracts
- Anyone not prohibited from using our services under UAE or applicable law
Legal entity:
These terms are a contract between you and CosmoLabs FZCO, a company incorporated in Dubai, United Arab Emirates.
Account Terms
Creating an Account
What we need from you:
- A valid email address
- A secure password (we’ll never ask for it in an email)
- Honest information (no impersonation, no fake identities for abuse)
What you’re responsible for:
- Keeping your password secure
- All activity that happens under your account
- Letting us know immediately if your account is compromised
What we promise:
- We’ll never ask for your password via email
- We won’t share your account data except as described in our Privacy Policy
- You can delete your account anytime (Account settings → Delete Account)
One Person, One Account (Usually)
We operate on trust. You can have multiple accounts if you have legitimate reasons (personal vs. business, testing, etc.). But if you’re creating accounts to abuse our systems, evade bans, or manipulate our services—that’s not cool, and we’ll shut it down.
Acceptable Use
The Golden Rule
Use our products in ways that don’t harm others. That’s really the foundation of everything.
What’s Allowed
- Using our products for personal or commercial purposes
- Creating, sharing, and storing content
- Building on top of our products (if we offer APIs)
- Providing feedback, reporting bugs, suggesting features
- Exporting your data and leaving if you want
What’s Not Allowed
Don’t be malicious:
- Hacking, breaking security, or compromising systems
- Spreading malware, viruses, or malicious code
- Phishing, scamming, or defrauding others
- Harassing, threatening, or abusing people
Don’t be exploitative:
- Scraping data for surveillance or tracking
- Building competing services by cloning our IP
- Violating others’ privacy or intellectual property
- Spamming, flooding, or abusing our infrastructure
Don’t be illegal:
- Anything that violates UAE law or international law
- Distributing illegal content
- Facilitating illegal activity
Special note on content: We’re not in the business of censoring speech, but we also won’t host content used for harassment, exploitation, or illegal purposes. Use your judgment. If you wouldn’t want it done to you, don’t do it to others.
Enforcement
We reserve the right to suspend or terminate accounts that violate these terms. We’ll try to warn you first (unless it’s egregious). You can appeal if you think we made a mistake.
User-Generated Content
You Own Your Content
Content you create on our platforms belongs to you. We don’t claim ownership of your work.
Your content license to us:
You grant us a limited license to store, display, and transmit your content—purely to provide the service. We won’t use your content for advertising, training AI models (without explicit consent), or anything else beyond providing the service you’re using.
Your Responsibilities
You’re responsible for your content:
- Legality: Don’t upload illegal content
- Rights: Make sure you have rights to upload it
- Backups: Keep backups—we’re not liable if something goes wrong
- Privacy: Don’t upload others’ private data without consent
Our Rights
We can remove content that violates these terms, is illegal, or creates liability for us. We’ll notify you when reasonable, but we reserve the right to act quickly if necessary.
Intellectual Property
Our IP
The CosmoLabs products, services, branding, design, and code are our intellectual property (or licensed to us). These terms don’t give you ownership—they give you permission to use our services.
What you can do:
- Use our products as intended
- Reference us in reviews, articles, or integrations
- Use our logos/branding per our brand guidelines (if provided)
What you can’t do:
- Copy, modify, or redistribute our code (unless it’s open source)
- Claim our products are yours
- Remove copyright notices or attribution
Open Source
Some of our products may include open-source components. Those are governed by their respective licenses (MIT, Apache, GPL, etc.), which supersede these terms for those components.
Paid Services
Payment Terms
When we charge:
Some products or features may require payment (subscriptions, one-time purchases, usage-based fees). We’ll clearly disclose pricing before you pay.
How we charge:
- Payment processor: Stripe (we never see your full card details)
- Billing frequency: Monthly, annually, or one-time (depending on the service)
- Auto-renewal: Subscriptions auto-renew unless you cancel
- Taxes: Prices may not include VAT or other taxes (added at checkout)
Cancellation and Refunds
Cancellation:
- You can cancel subscriptions anytime from Account Settings
- Cancellation takes effect at the end of your current billing period
- You retain access until the period ends
Refunds:
- Subscriptions: Pro-rated refunds if you cancel mid-period (discretionary)
- One-time purchases: 30-day money-back guarantee (if the product is defective or misrepresented)
- Usage-based fees: No refunds for usage already consumed
- Exceptions: No refunds for violations of these terms
How to request: Email billing@cosmolabs.org with your account details and reason.
Price Changes
We may change prices with 30 days’ notice for existing subscribers. New prices apply on your next renewal. If you don’t agree, cancel before renewal.
Service Availability
What We Promise (and Don’t Promise)
We strive for:
- High availability and uptime
- Fast performance
- Regular updates and improvements
- Responsive support
But realistically:
- Services may have downtime (maintenance, outages, bugs)
- We’re not liable for lost data, lost revenue, or business disruption
- We don’t guarantee 100% uptime
Backups: We maintain backups, but you should too. We’re not responsible if something catastrophic happens.
Service Changes
We may:
- Add, modify, or remove features
- Discontinue products (with 90 days’ notice for paid services)
- Change these terms (see “Changes to Terms” below)
We’ll notify you of material changes, but minor improvements or bug fixes happen continuously.
Warranties and Disclaimers
The Legal Stuff (Required, but Translated)
Our services are provided “as-is”. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement—to the extent allowed by law.
Translation: We build good products and we stand behind them, but we can’t guarantee they’re perfect for every possible use case. Software is complex. Bugs happen. Use at your own risk.
What This Means Practically
- We’ll fix bugs and security issues as fast as we can
- We’ll support our products and help you when things break
- But we can’t be liable for every possible consequence of using our software
Exception: Nothing in these terms excludes liability for fraud, gross negligence, or violations of consumer protection laws that can’t be waived.
Limitation of Liability
Maximum Liability
Our total liability to you for any claim arising from these terms or our services is limited to the greater of:
- The amount you paid us in the 12 months before the claim, or
- $100 USD
What’s excluded:
We’re not liable for indirect damages (lost profits, lost data, business interruption, etc.) even if we were warned they might happen.
Why This Matters
We’re a small team building ambitious products. Unlimited liability would make that impossible. This is standard in the industry and necessary for us to operate.
But: This doesn’t apply to gross negligence, intentional harm, or rights that can’t be waived under UAE or EU law.
Indemnification
If you use our services in a way that gets us sued (e.g., you upload illegal content, violate someone’s rights, or break these terms), you agree to cover our legal costs and damages.
Translation: If your actions cause us legal trouble, that’s on you.
Privacy and Data Protection
Your privacy is governed by our Privacy Policy. By using our services, you also agree to that policy.
Key points:
- We collect minimal data
- We don’t sell your data
- You have full rights over your data (access, deletion, portability)
- We’re GDPR compliant
Termination
You Can Leave Anytime
Delete your account whenever you want. We’ll be sad to see you go, but we won’t make it hard.
We Can Terminate Too
We can suspend or terminate accounts for:
- Violating these terms
- Illegal activity
- Non-payment (for paid services)
- Inactivity (after fair warning)
Notice: We’ll try to give you warning and a chance to fix the issue, except for serious violations (hacking, fraud, abuse).
What Happens After Termination
- Your access stops immediately (or at the end of your paid period)
- Your data is deleted per our Privacy Policy (90-day grace period)
- You remain responsible for any outstanding fees
- Provisions that should survive (IP, liability, dispute resolution) remain in effect
Dispute Resolution
Talk to Us First
If you have a problem, email us at legal@cosmolabs.org. Most disputes can be resolved through conversation. We’re reasonable people.
Governing Law
These terms are governed by the laws of the United Arab Emirates. For users in the EU, your statutory consumer rights under EU law still apply.
Arbitration
If we can’t resolve a dispute informally, we agree to binding arbitration in Dubai, UAE under the DIFC-LCIA Arbitration Rules. Arbitration is faster and cheaper than court.
Exceptions:
- Small claims (under USD $13,600) can be filed in small claims court
- IP disputes may be handled in court
- EU consumers retain the right to bring claims in their home jurisdiction
No Class Actions
You agree to resolve disputes individually, not as part of a class action or collective proceeding. (This may not apply to EU consumers where prohibited by law.)
Changes to These Terms
We may update these terms when:
- Our services change
- Legal requirements change
- We find better ways to explain things
How we’ll notify you:
- Update the “Last Updated” date at the top
- Email users for material changes
- Post a notice in-app for significant changes
Your options:
- Continued use means you accept the new terms
- If you disagree, you can close your account before the changes take effect
Version history: We track all changes in our public repository for transparency.
Miscellaneous
Entire Agreement
These terms, plus our Privacy Policy, constitute the entire agreement between you and CosmoLabs FZCO.
Severability
If any provision is found unenforceable, the rest remains in effect.
No Waiver
If we don’t enforce a provision, that doesn’t mean we waive the right to enforce it later.
Assignment
You can’t transfer these terms to someone else. We can assign them if we’re acquired or merged.
Force Majeure
We’re not liable for failures caused by circumstances beyond our control (natural disasters, war, pandemics, government action, etc.).
Language
The English version of these terms is the authoritative version. Translations are for convenience.
